Shareholders of the Alba real estate fund will gather on October 28 for an extraordinary general meeting to decide on the voluntary reorganization of the joint-stock company into Alba LLP. This was reported by Qazaqyia.kz citing Kursiv Media.

The fund's board of directors decided on September 28 to convene the extraordinary general meeting of shareholders. The agenda for October 28, in addition to the voluntary reorganization of the JSC into an LLP, includes approval of the transfer act, cancellation of the JSC's share issue, termination of the investment declaration, and termination of contracts with the management company, custodian bank, securities registrar, and Central Depository.

In addition, shareholders will approve the name of the LLP, legal address, amount of charter capital, charter and founding agreement of the company. They will also elect members of the executive body of the new company.

Alba Real Estate Joint Investment Fund posted a profit of 215 million tenge for 2025, compared to 176.7 million tenge in 2024 (+21.7%).

Among the ultimate co-owners of the fund are former Deputy Minister of Internal Affairs Vasily Simachev and his business partner Nurzhan Bekshenov, former head of national companies Kazakhstan Temir Zholy and KazMunayGas Sauat Mynbayev and his son Damir Mynbayev, as well as Aigul Saimasayeva.

Income from renting investment real estate grew to 182.4 million tenge from 151.5 million tenge in 2024. In addition, the company received 50.1 million tenge in income from revaluation of investment real estate compared to 42.9 million tenge in 2024. At the end of 2025, the fund's retained earnings amounted to 373.3 million tenge.

The fund's investment real estate consists of an administrative building (business center) at 22 Zenkova Street in the Medeu district of Almaty with a total area of 4,470.6 square meters, as well as a land plot of 0.3964 hectares at the same address. The total value of the real estate was estimated at the end of 2025 at 708.6 million tenge, including the appraised value of the building at 403.6 million tenge.

In 2025, the general meeting of shareholders approved the payment of 200.7 million tenge in dividends, of which 191 million tenge were paid during the year, and 9.7 million tenge on January 21, 2026. For comparison, in 2024 they approved the payment of 107.8 million tenge in dividends, which were fully paid in the same year.

In January 2026, the board of directors of Alba Real Estate Joint Investment Fund recommended paying shareholders 45.27 million tenge in dividends based on the results of January-September 2025.

The shareholders of the Alba fund are: Pozitiv Consulting company – 37.5%, AQPAN ASSETS company – 37.5%, and Aigul Saimasayeva – 25%.

AQPAN ASSETS belongs to Damir Mynbayev (son of former Deputy Prime Minister, head of KTZ and KMG Sauat Mynbayev) and KSK company, whose sole owner is Sauat Mynbayev himself.

The co-owners of Pozitiv Consulting are Vasily Simachev and Nurzhan Bekshenov. Vasily Simachev is a former Deputy Minister of Internal Affairs of Kazakhstan, and his business partner Nurzhan Bekshenov ranked 25th and 22nd respectively in the Forbes list of the richest Kazakhstanis in 2013 and 2014 with a fortune of $290 million.

Through Pozitiv Consulting, Simachev and Bekshenov are also co-owners of the Pozitiv Nedvizhimost real estate joint investment fund, which leases premises in the famous Passazh shopping center in Almaty.
